1. Acceptance of Terms

By accessing or using FratDoor ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

FratDoor is a web-based event management platform designed for fraternities, sororities, and their governing councils. The Service provides check-in verification, guest list management, blacklist enforcement, real-time analytics, and related features.

3. Eligibility

You must be at least 18 years old and affiliated with a recognized fraternity, sorority, or governing council to create an account. By signing up, you represent that you have the authority to bind your chapter or organization.

Your use of the Service is also governed by our Privacy Policy. You are responsible for obtaining any necessary consent before scanning student IDs or collecting guest information through the platform.

9. Intellectual Property

The FratDoor name, logo, software, and all associated intellectual property are owned by Graham Zemel LLC. You may not copy, modify, distribute, or create derivative works without written permission.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED STRICTLY "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. GRAHAM ZEMEL LLC EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. NO WARRANTY IS MADE THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS. NO WARRANTY IS MADE THAT BLACKLIST ENFORCEMENT, CAPACITY LIMITS, GUEST LIST MANAGEMENT, OR ANY OTHER SAFETY-RELATED FEATURE WILL PREVENT ALL INCIDENTS OR UNAUTHORIZED ACCESS AT EVENTS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GRAHAM ZEMEL LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, INCLUDING BUT NOT LIMITED TO DATA LOSS, SECURITY INCIDENTS, SERVICE INTERRUPTIONS, PERSONAL INJURY, PROPERTY DAMAGE, OR LOSS OF PROFITS, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF GRAHAM ZEMEL LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL GRAHAM ZEMEL LLC'S TOTAL LIABILITY EXCEED THE AMOUNTS PAID BY YOU TO GRAHAM ZEMEL LLC IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Assumption of Risk

Subscriber acknowledges and agrees that events organized, managed, or facilitated using the Service involve inherent risks, including but not limited to risks of personal injury, property damage, and other hazards. FratDoor is a management tool and is not a guarantor of safety at any event. The subscribing chapter assumes full and sole responsibility for event safety, guest conduct, compliance with university policies, and compliance with all applicable local, state, and federal laws and regulations.

13. Release of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SUBSCRIBER HEREBY RELEASES, WAIVES, DISCHARGES, AND HOLDS HARMLESS GRAHAM ZEMEL LLC, ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, AGENTS, AND AFFILIATES FROM ANY AND ALL CLAIMS, DEMANDS, LAWSUITS, ACTIONS, DAMAGES, LIABILITIES, COSTS, AND EXPENSES (INCLUDING ATTORNEYS' FEES) ARISING FROM OR RELATED TO ANY EVENT MANAGED, ORGANIZED, OR FACILITATED USING FRATDOOR, INCLUDING BUT NOT LIMITED TO CLAIMS FOR PERSONAL INJURY, DEATH, PROPERTY DAMAGE, OR ANY OTHER LOSS, REGARDLESS OF WHETHER FRATDOOR WAS ACTIVELY IN USE AT THE TIME OF THE INCIDENT. THIS RELEASE APPLIES TO CLAIMS ARISING FROM THE NEGLIGENCE OF GRAHAM ZEMEL LLC (BUT NOT ITS GROSS NEGLIGENCE OR WILLFUL MISCONDUCT).

14. Event Safety & Compliance

FratDoor does not provide legal, safety, or compliance advice. The platform is a tool that assists chapters with event management but does not replace proper event planning, the hiring of professional security personnel, compliance with applicable laws, or adherence to university policies. Subscriber is solely responsible for all event outcomes, including the safety and well-being of all attendees, compliance with alcohol and beverage regulations, fire code and building capacity compliance, and any other obligations imposed by law or institutional policy.

15. Data Accuracy

Graham Zemel LLC is not responsible for inaccuracies, errors, or omissions in guest list data, student ID information, check-in records, or any other data entered into or generated by the Service. The subscribing chapter is solely responsible for verifying data integrity and ensuring the accuracy of all information used in connection with the Service.

16. Indemnification

You agree to indemnify, defend, and hold harmless Graham Zemel LLC, its officers, directors, members, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of the Service; (b) your violation of these Terms; (c) any event managed or facilitated using the Service; (d) any injury, damage, or loss occurring at or in connection with any such event; or (e) your violation of any applicable law, regulation, or university policy.

17. Arbitration & Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, conducted in Boulder County, Colorado. Each party shall bear its own costs and attorneys' fees unless the arbitrator determines otherwise. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. BY AGREEING TO THESE TERMS, YOU WAIVE YOUR RIGHT TO A TRIAL BY JURY.

18. Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE THE RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST GRAHAM ZEMEL LLC.

19. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent of the parties.

20. Modifications

We may update these Terms at any time. Continued use of the Service after changes constitutes acceptance. Material changes will be communicated via email or in-app notification.

21. Governing Law

These Terms are governed by the laws of the State of Colorado, without regard to its conflict-of-law principles. To the extent any dispute is not subject to arbitration as provided in Section 17, it shall be resolved in the state or federal courts located in Boulder County, Colorado.
